WootzApp uses various agreements to accept contributions of software code and documentation from individuals and corporations, and to accept larger grants of existing software products.

These agreements help us achieve our goal of providing reliable and long-lived software products through collaborative, open-source software development. In all cases, contributors retain full rights to use their original contributions for any other purpose outside of WootzApp, while providing the WootzApp and its projects the right to distribute and build upon their work.

The purpose of this agreement is to clearly define the terms under which intellectual property has been contributed to WootzApp and thereby allow us to defend the project should there be a legal dispute regarding the software. An individual must have submitted a signed CLA to the WootzApp before we give them commit/merge rights to any WootzApp project. This agreement language is very standard and has been originally cloned from other open source projects in the ecosystem.

WOOTZAPP CONTRIBUTOR LICENSE AND ASSIGNMENT AGREEMENT

This Contributor License and Assignment Agreement ("Agreement") is between WootzApp, Inc., a Delaware corporation ("WootzApp") and the individual or entity submitting Contributions ("Contributor").

1. Definitions

1.1. "Contribution" means any original work of authorship, including any modifications or additions to existing works, that Contributor intentionally submits to WootzApp for inclusion in any WootzApp project, product, or repository.

1.2. "Compensated Contribution" means any Contribution made in exchange for payment from WootzApp.

1.3. "Submit" means any form of electronic, verbal, or written communication sent to WootzApp, including but not limited to communication through electronic platforms, source code control systems, and issue tracking systems managed by or on behalf of WootzApp.

2. Assignment and License Grants

2.1. Assignment of Rights

  • For all Contributions (whether compensated or not), Contributor hereby irrevocably assigns and transfers to WootzApp all worldwide right, title, and interest in:
    • All copyrights and exclusive rights under copyright law
    • All patent rights related to the Contributions
    • All other intellectual property rights
  • For Compensated Contributions, this assignment explicitly creates a "work-made-for-hire" relationship under copyright law

2.2. License Rights WootzApp shall have the exclusive, perpetual, and irrevocable right to:

  • License the Contributions under any terms
  • Change or modify licenses at any time without notice
  • Use different licenses for different portions of the Contributions
  • Distribute under multiple licenses simultaneously
  • Combine with other works under any license
  • Use in both open source and proprietary projects
  • Grant and authorize sublicenses through multiple tiers
  • Create and license derivative works
  • Exercise patent rights in any manner

3. Representations and Warranties

Contributor represents and warrants that:

  • They have legal authority to enter this Agreement
  • They own all rights in their Contributions
  • Contributions are original works or Contributor has rights to assign them
  • Contributions do not violate any third-party rights
  • If employed, they have obtained any necessary permissions
  • They understand the perpetual nature of this Agreement

4. Electronic Acceptance

4.1. This Agreement becomes legally binding upon Contributor's electronic acceptance.

4.2. Valid forms of acceptance include:

  • Pull request comments stating "I accept and agree to the WootzApp CLA" or "I have read the WootzApp CLA Document and I hereby accept and agree to be bound by its terms"
  • Click-through acceptances on WootzApp platforms
  • Any other form of electronic assent designated by WootzApp

5. Governing Law and Jurisdiction

5.1. This Agreement shall be governed by Delaware law, without regard to conflict of law principles.

5.2. The state and federal courts of Delaware shall have exclusive jurisdiction over all disputes.

6. Severability and Integration

6.1. If any provision is found unenforceable, the remainder shall continue in effect.

6.2. This Agreement represents the complete agreement regarding Contributions and supersedes all prior agreements, but may be superseded by specific written agreements for particular paid projects.

7. Survival

All rights granted and representations made under this Agreement shall survive termination of any employment or consulting relationship with WootzApp.
